This White Label Site Shopping Cart Enablement Agreement (the “Agreement”) is entered into by and between B2Sign Inc. (“B2Sign,” “we,” “us,” or “our”) and the reseller, white label site owner, or authorized account administrator enabling the shopping cart feature for a white label site (“Reseller,” “you,” or “your”).
This Agreement becomes effective when you click “Enable Shopping Cart,” enable or use shopping cart features, allow customers to register, receive estimate requests through your white label site, or otherwise use the related white label site tools.
Your use of B2Sign.com, B2Sign products, production services, artwork tools, proofing, ordering, shipping, and related services remains subject to B2Sign’s then-current Terms & Conditions, together with any product-specific rules, guidelines, restrictions, or policies posted by B2Sign.
This Agreement applies specifically to the white label site shopping cart, customer account, estimate request, quote, payment-status, production-status, and reseller-facing workflow.
If there is a conflict between this Agreement and B2Sign’s general Terms & Conditions, the following order applies unless B2Sign states otherwise in writing:
The white label shopping cart currently functions as a Request for Quote / Estimate submission tool. When enabled, your customers may be able to create accounts, add products to the cart, upload artwork, save favorite items, manage addresses, add special instructions, and submit estimate requests through your white label site.
The current shopping cart does not process online payment and does not automatically place or sync orders to B2Sign.
By enabling shopping cart, you represent and warrant that:
B2Sign may provide sample customer-facing terms, privacy policy language, notices, disclosures, FAQs, or other templates for convenience only.
You are responsible for reviewing, customizing, publishing, and maintaining any customer-facing terms, privacy policy, refund policy, cancellation policy, shipping policy, artwork policy, and other disclosures for your white label site.
B2Sign does not provide legal advice and does not guarantee that any template, sample text, workflow, checkbox, notice, or disclosure satisfies your legal, tax, privacy, consumer protection, payment, marketing, or business requirements.
You are responsible for ensuring that your customers agree to your customer-facing terms before creating an account or using customer account features.
You are responsible for providing and maintaining a customer-facing privacy policy that accurately describes how customer information, uploaded files, artwork, addresses, messages, estimate-related data, quote records, and account information are collected, used, shared, stored, and retained.
You are responsible for ensuring your registration flow, terms acceptance process, privacy disclosures, marketing communications, refund policy, and customer-facing notices comply with applicable laws and your own business policies.
You authorize B2Sign to record customer acceptance events and related account events, including user ID, site ID, timestamp, IP address, terms version, privacy policy version, account email, and other reasonable account administration data.
These records may be used for account administration, audit, customer support, dispute resolution, compliance review, and platform security.
You are responsible for reviewing whether your customer-facing terms and privacy policy disclose this data collection and recordkeeping appropriately.

Your white label site is intended for your customers. Unless B2Sign separately agrees in writing, you are the customer-facing seller, merchant, or service provider for quotes, pricing, payment collection, customer communication, refunds, and customer service on your white label site.
B2Sign provides the platform and may provide production-related services, but B2Sign is not responsible for your independent customer pricing, payment collection, refund decisions, customer-facing policies, promises, representations, or disputes with your customers.
A customer’s cart submission is an estimate request, not a final order. You must review the estimate request and send a quote before the customer can approve or decline the quote.
After a customer approves a quote, the estimate may move into the fulfillment stage. You may then update payment status and production status from the estimate.
Approval of a quote on the white label site does not automatically submit a production order to B2Sign unless B2Sign confirms that B2 order sync is active for your account.
Online payment processing is not currently available through the white label shopping cart. You are responsible for collecting payment from your customers outside the platform.
Payment status shown in the white label site is for tracking purposes only. Updating payment status does not charge the customer, collect funds, authorize a transaction, issue a refund, or confirm that B2Sign has received payment from you.
B2Sign is not responsible for chargebacks, failed payments, customer non-payment, refund disputes, payment processor issues, tax collection, or payment-related claims between you and your customers, except to the extent caused by B2Sign’s own direct error or expressly agreed in writing.
B2 order sync is not currently available. Until B2 order sync becomes available and is enabled for your account, you are responsible for placing B2Sign orders manually.
You understand that a quote marked as accepted, paid, partially paid, unpaid, in production, shipped, completed, or delivered on the white label site does not itself create, pay for, submit, or modify a B2Sign production order unless B2Sign confirms that order sync is active.
When you place an order with B2Sign, that order is governed by B2Sign’s Terms & Conditions, production requirements, proofing rules, cancellation policy, return/reprint policy, and any applicable product-specific requirements.
You are responsible for ensuring that the B2Sign order you place matches the accepted customer quote, including product, size, material, quantity, finishing options, artwork, proof approval, shipping method, shipping address, and any special instructions.
You are responsible for making your customer-facing cancellation, refund, and claim policies clear to your customers.
For B2Sign production orders, you understand and agree that B2Sign’s cancellation, return, refund, and reprint policies apply. If a B2Sign order reaches a status where it can no longer be cancelled under B2Sign’s Terms & Conditions, you remain responsible for managing any related customer issue or refund request with your customer.
You are responsible for promptly reporting any production defect, order issue, shipping issue, or claim to B2Sign within the timeframe required by B2Sign’s Terms & Conditions.
You are responsible for reviewing customer-submitted artwork, files, logos, text, images, trademarks, designs, and other content before using them for a quote or B2Sign production order.
You represent and warrant that you and your customers have all necessary rights, permissions, licenses, and authority to use, upload, submit, reproduce, print, and distribute any submitted content.
You agree not to submit or approve content that is unlawful, infringing, defamatory, obscene, harmful, malicious, misleading, or otherwise objectionable.
If proof approval is required, you are responsible for obtaining and retaining written approval from your customer when appropriate and for providing final written approval to B2Sign as required by B2Sign’s Terms & Conditions.
You acknowledge that color proofs, digital previews, and customer-supplied proofs may not match final printed products exactly.
Shipping rates shown in the white label site are estimates and may depend on package details, destination address, residential or commercial classification, carrier rates, fuel surcharges, timing, and other factors.
You are responsible for deciding what shipping amount, handling fee, local delivery fee, packaging fee, additional product fee, or additional service fee to add to a customer quote.
B2Sign is not responsible for differences between an estimated shipping quote shown in the white label site and the final shipping cost, unless otherwise required by law or expressly agreed in writing.
You are responsible for reviewing and confirming all prices, markups, discounts, taxes, shipping fees, and additional charges before sending a quote to your customer.
B2Sign may update base pricing, product availability, templates, materials, production options, turnaround times, shipping settings, or product rules at any time. You are responsible for reviewing your white label site settings and quotes to ensure they remain accurate.
B2Sign does not provide tax, accounting, or legal advice. You are responsible for determining and collecting any applicable taxes, fees, or charges from your customers.
You are responsible for the accuracy and legality of your white label site content, including company name, logo, contact information, pricing, product descriptions, customer-facing messages, policies, and branding.
B2Sign may offer domain options for white label sites. Custom domain binding may not be available unless separately enabled by B2Sign. B2Sign may add, remove, reserve, suspend, or modify available domain options at its discretion.
If your account supports multiple white label sites, each site may have separate settings. You are responsible for ensuring each site is configured correctly, including pricing, product visibility, logo, contact information, domain option, shopping cart settings, customer-facing terms, and privacy policy.
When shopping cart is enabled, customers may be able to register accounts, submit estimate requests, upload artwork, save favorite items, manage addresses, view estimates, approve or decline quotes, and communicate through the white label site.
You agree to use customer information only for legitimate business purposes related to your white label site and to comply with applicable privacy, data protection, marketing, consumer protection, and customer communication requirements.
You are responsible for making your customer-facing privacy and communication practices clear to your customers.

You may not use the white label site platform to:
B2Sign reserves the right to refuse service, production, products, artwork, files, orders, or platform access where B2Sign determines that the request violates B2Sign policies, applicable law, intellectual property rights, production requirements, or this Agreement.
B2Sign may update, modify, suspend, or discontinue features of the white label site platform, including shopping cart, customer accounts, estimates, quotes, payment-status tools, production-status tools, domain options, pricing tools, and order sync functionality.
B2Sign will make commercially reasonable efforts to maintain platform availability but does not guarantee uninterrupted, error-free, or delay-free access.
B2Sign retains all rights in its website, platform, software, workflows, templates, product data, graphics, photographs, images, document layouts, artwork, text, fonts, software tools, trademarks, service marks, trade names, and related technology.
You retain rights in your own logo, branding, and customer-facing content, subject to the rights you grant B2Sign to host, store, reproduce, display, transmit, and process that content as needed to operate the white label site, process estimates, provide production services, and support the platform.
You agree to defend, indemnify, and hold harmless B2Sign, its officers, employees, contractors, affiliates, partners, subsidiaries, and suppliers from and against claims, damages, losses, liabilities, costs, and expenses arising from:
The white label site platform and shopping cart tools are provided on an “as available” basis. B2Sign does not guarantee that the platform will meet all of your business, tax, legal, payment, accounting, consumer protection, marketing, or customer communication requirements.
To the maximum extent permitted by law, B2Sign will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business, loss of data, customer disputes, payment disputes, production delays, shipping delays, or reputational harm arising from your use of the white label site, shopping cart tools, estimate tools, or related services.
B2Sign’s total liability under this Agreement will not exceed the amounts paid by you to B2Sign for the applicable white label site or production services during the three months before the event giving rise to the claim, unless otherwise required by law.
B2Sign may suspend or disable shopping cart access, customer account access, estimate tools, quote tools, domain access, or the white label site if B2Sign reasonably believes that you violated this Agreement, violated B2Sign’s Terms & Conditions, created legal or operational risk, failed to pay amounts owed to B2Sign, misused the platform, or submitted improper content or orders.
You may request to disable shopping cart or close a white label site by contacting B2Sign or using available account controls.
B2Sign may update this Agreement from time to time. Continued use of the shopping cart, white label site, or related tools after an update means you accept the updated Agreement.
This Agreement will be governed by the laws of the State of California, without regard to conflict of law rules. Any dispute arising from this Agreement will be brought in the state or federal courts located in California, unless otherwise required by law.
By enabling shopping cart or continuing to use the white label site tools, you confirm that you are authorized to act on behalf of the Reseller account and agree to this Agreement.
